Terms of Service

These Terms of Service ("Terms") govern access to and use of YOTR ("the Service"), operated by Codiya Cyprus Ltd, a company registered in Cyprus under registration number HE 455523. By creating an account, signing in, or otherwise using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.
1. The Service
YOTR provides business software for time-off management, team availability, calendar coordination, allowance tracking, approvals, time tracking, and related workforce planning workflows. The Service is currently offered for beta testing and early access. Features may change over time as we improve the product.
2. Business Use and Authority
The Service is intended for organizations and professional use. If you use the Service for an organization, you represent that you are authorized to bind that organization to these Terms. The organization is responsible for its users, configuration, employment-related decisions, and compliance with laws that apply to its workforce.
3. Accounts and Access
Access is provided through Google OAuth and organization-based provisioning. You are responsible for maintaining the security of your account and for all activity that occurs under it. Organization administrators control user access, roles, locations, policies, integrations, and configuration within their tenant.
4. Acceptable Use
You agree not to misuse the Service. This includes, without limitation:
- Attempting to access data outside your authorized organization or role
- Interfering with or disrupting the Service, its infrastructure, or other users
- Uploading malicious code or using the Service for unlawful, deceptive, or abusive purposes
- Reverse engineering or attempting to extract source code except where permitted by law
5. Organization Data
Organizations retain ownership of the data they submit to the Service, including employee information, locations, policies, calendars, time-off requests, allocations, clients, projects, tasks, time entries, uploaded assets, and related records. You grant Codiya Cyprus Ltd a limited license to host, process, transmit, and display that data solely to provide, secure, support, and improve the Service.
Organization administrators are responsible for ensuring they have appropriate authority to collect and process employee data through the Service, including compliance with applicable employment and privacy laws.
6. Data Protection
Where Codiya Cyprus Ltd processes personal data on behalf of an organization, we act as a processor and the organization acts as controller unless otherwise agreed. We will process personal data in accordance with our Privacy Policy and, where applicable, a separate data processing agreement or other written data protection terms between the parties.
7. Integrations
The Service may connect with third-party services such as Google OAuth, Google Calendar, Cloudinary, ICS calendar clients, and external work-management tools. Your organization is responsible for enabling, configuring, and maintaining any integrations it chooses to use. We are not responsible for third-party services outside our control.
When an authorized administrator connects Google Calendar, the Service may create and manage a dedicated calendar for a location, create/update/delete YOTR availability events on that calendar, store the Google refresh token and calendar metadata needed for sync, and optionally grant reader access to approved organization domains. Administrators are responsible for ensuring they have authority to connect the Google account and configure calendar sharing for their organization.
Use of Google services is also subject to Google's terms and policies. You must not use the Service to cause unlawful, unauthorized, or misleading changes to Google Calendar data or any third-party service.
8. Beta Access, Subscriptions, and Billing
During the current beta testing period, YOTR is available with free access for participating organizations. We may change, limit, or end free beta access at any time, with or without notice, and we may enable a billing paywall or paid plans at any time.
If we introduce paid plans, fees will be based on the pricing and plan terms presented at the time of purchase or upgrade. Unless stated otherwise at purchase, subscriptions renew automatically for successive billing periods until cancelled. You may cancel a paid subscription according to the cancellation method made available in the Service or by contacting us at hello@yotr.io. Cancellation stops future charges but does not entitle you to a refund for the current billing period except where required by law or explicitly stated otherwise.
Fees are non-refundable except where required by law or explicitly stated otherwise. We may change pricing or plan features for future billing periods with reasonable notice. Applicable taxes, duties, or similar governmental charges may be added to fees where required by law. If invoicing is offered, invoices will be issued in the form and cadence described at purchase or in your account settings.
9. Intellectual Property
YOTR, including its software, branding, documentation, and visual design, is owned by Codiya Cyprus Ltd or our licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or other proprietary materials except as needed to use the Service.
10. Availability and Changes
We strive to keep the Service reliable, but uninterrupted or error-free operation is not guaranteed. We may modify, suspend, or discontinue features with reasonable notice when practicable. We may also update these Terms from time to time; continued use after changes become effective constitutes acceptance of the revised Terms.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create security or legal risk, or if required to do so by law. Upon termination, your right to access the Service ends, subject to any data retention obligations described in our privacy policy.
12. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
The Service helps organizations administer workflows, but it does not provide legal, tax, payroll, or employment advice. Your organization remains responsible for employment decisions, statutory leave compliance, payroll calculations, and recordkeeping obligations.
13. Limitation of Liability
To the fullest extent permitted by law, Codiya Cyprus Ltd and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the claim arose or one hundred euros (EUR 100).
14. Governing Law
These Terms are governed by the laws of Cyprus, without regard to conflict-of-law principles. Any disputes arising from or relating to these Terms or the Service will be resolved by the courts of Cyprus, unless applicable law requires otherwise.
